BonxVerb End-User License Agreement

This End-User License Agreement (the "Agreement") is a contract between you and{LEGAL_ENTITY} ("we", "us", "our") for the BonxVerb software plugin, in both its demo and licensed forms (the "Software"). By installing, activating, or using the Software you agree to it. If you don't agree, don't install or use the Software.
The short version
Plain-English, not a substitute for the terms below, but a fair summary of them:
- You buy BonxVerb once. It's a perpetual license; it doesn't expire.
- It's licensed to you, one person, on every machine you personally use.
- The demo is the full plugin, with a periodic output dip, and no time limit.
- Updates within your version line are free.
- Your key is signed to your email; please don't share it.
- Music you make with it is entirely yours.
- It's offline: no account, no activation server, no phone-home.
1. Definitions
- Software: the BonxVerb audio plugin, in all formats, plus its installers, presets, and documentation.
- License Key: the signed key we issue that activates the Software for you.
- Demo: the Software running unlicensed (see §3).
- You: the individual person the License Key is issued to.
2. License grant
On purchase, we grant you a perpetual, worldwide, non-exclusive, non-transferable, per-person license to install and use the Software on every computer that you personally own or control: desktop, laptop, studio machine. The license belongs to one human, not to one computer, and there is no limit on the number of your own machines. It does not expire.
3. Demo use
The Demo is the same Software, unlicensed. It is fully functional except that it periodically dips its output level, and it has no time limit; you may evaluate it for as long as you like. All terms of this Agreement apply to Demo use, except that no license under §2 is granted for the Demo beyond evaluation.
4. Activation and how the license works
Activation is entirely offline. Your License Key is cryptographically signed to your email address; the Software verifies it locally against a key built into the plugin and then shows "Licensed to <your email>". There is no account, no activation server, no machine binding, and no network connection at any point, activation or otherwise. Your email address inside the key is the whole enforcement model, so please keep the key to yourself.
5. Restrictions
You may not:
- Share, publish, resell, rent, lease, or sublicense your License Key or the Software.
- Redistribute the Software or its installers, modified or unmodified.
- Reverse engineer, decompile, or disassemble the Software, except to the extent the law expressly permits despite this restriction.
- Remove, disable, or circumvent the licensing mechanism, or any notices in the Software.
- Use the Software other than as this Agreement allows.
6. Updates
Updates within your paid version line are provided free of charge. We are not obligated to provide any particular update, and the Software has no in-plugin update checker (that would be a network call, which we don't do). Update availability is announced on our site and announcements list.
7. Ownership and intellectual property
The Software is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Software, including all intellectual-property rights. This Agreement grants you the license in §2 and nothing else.
8. Your content
Audio, projects, and presets you create using the Software are entirely yours. We claim no rights over your output and no ownership of what you make.
9. Transfers
Licenses are non-transferable by default because they are signed to your email. If you have a genuine need to move one (you sold hardware, changed your address), email support@rawsteraudio.com and we'll handle it case by case at our discretion.
10. Third-party components
The Software includes third-party components licensed under their own terms; see third-party notices. Those terms govern those components and, where they conflict with this Agreement as to those components, they control.
11. Disclaimer of warranty
The Software is provided "as is" and "as available", without warranty of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be error-free or uninterrupted, or that it will meet your requirements. Some jurisdictions don't allow the exclusion of implied warranties, so some of this may not apply to you.
12. Limitation of liability
To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or revenue, arising out of or relating to the Software or this Agreement. Our total aggregate liability under this Agreement will not exceed the amount you actually paid for the license. Nothing in this Agreement limits liability that cannot lawfully be limited.
13. Indemnification
You agree to indemnify and hold us harmless from claims arising out of your breach of this Agreement or your misuse of the Software, to the extent permitted by law.
14. Term and termination
This Agreement is effective until terminated. It terminates automatically if you materially breach it. On termination you must stop using and remove the Software. Sections 5, 7, 8, 11, 12, 13, and 15 survive termination.
15. Refunds
Refunds are available within 14 days of purchase on request to support@rawsteraudio.com. Payments are processed by Lemon Squeezy as merchant of record, and Lemon Squeezy executes the refund to your original payment method.
16. Governing law
This Agreement is governed by the laws of {GOVERNING_LAW}, without regard to conflict-of-laws rules, and the courts of {LEGAL_VENUE} will have jurisdiction over any dispute, except where mandatory local law gives you other rights.
17. Changes to this Agreement
We may update this Agreement for future versions or purchases; the "Last updated" date above changes when we do. The version you agreed to at purchase governs your existing license.
18. Severability and entire agreement
If any provision of this Agreement is held unenforceable, the rest stays in effect. This Agreement, together with our Terms and Privacy policy, is the entire agreement between you and us regarding the Software and supersedes any prior understanding.
